ENVIRONMENTAL SERVICES AUTHORIZATION, PAYMENT AGREEMENT & DIRECTION OF PAYMENT
I, the undersigned property owner, authorized agent, or authorized client ("Client"), hereby authorize Pinnacle Environmental & Consulting, LLC ("PEAC") to perform environmental inspection, consulting, sampling, laboratory coordination, testing, monitoring, reporting, and related professional services at the property identified above.
Direction of Payment
The Client hereby irrevocably authorizes, directs, and instructs any insurance carrier, insurance adjuster, third-party administrator, mortgage company, escrow company, public adjuster, restoration contractor, property manager, or any other entity responsible for issuing payment to remit payment directly to Pinnacle Environmental & Consulting, PEAC LLC for all services rendered.
Where permitted by the applicable insurance policy, all insurance proceeds applicable to PEAC's services shall be made payable directly to PEAC. If any payment is issued jointly to the Client and PEAC, or solely to the Client, the Client agrees to immediately endorse, remit, and deliver such payment to PEAC within five (5) business days of receipt.
The Client further authorizes PEAC to communicate directly with the insurance carrier, adjuster, attorney, public adjuster, contractor, or other authorized representatives regarding scheduling, scope of services, invoices, supporting documentation, and payment status as reasonably necessary to facilitate payment.
This authorization is provided solely as a direction of payment and shall not be interpreted as an assignment of insurance benefits unless otherwise required by applicable law.
Client Responsibility for Payment
The Client acknowledges and agrees that they remain primarily, personally, and unconditionally responsible for payment of all amounts due to PEAC regardless of insurance coverage, claim approval or denial, deductible obligations, depreciation, policy exclusions, payment disputes, payment delays, insolvency of any responsible party, or failure of any insurance carrier or third party to issue payment.
Payment is due in full within fifteen (15) calendar days from the invoice date unless otherwise agreed to in writing. Installment payments are not accepted without prior written approval.
Past-due balances shall accrue interest at 1.5% per month (18% annually), or the maximum amount permitted by applicable law, whichever is less.
The Client agrees to pay all costs incurred in collecting unpaid balances, including administrative expenses, collection agency fees, court costs, reasonable attorney's fees, expert witness fees, and all post-judgment collection costs, whether or not litigation is initiated.
Cancellation and Services Performed
Once services have been scheduled or commenced, cancellation may result in charges for all services performed, technician time, travel, laboratory fees, administrative costs, and any other expenses incurred through the date of cancellation.
If the Client requests suspension or termination of services after work has begun, all charges incurred to that point shall become immediately due and payable.
Sampling and Property Conditions
The Client understands that environmental inspections and representative sampling may require drilling, cutting, coring, scraping, or other destructive methods necessary to obtain representative samples. The Client expressly authorizes such activities and acknowledges that PEAC is not responsible for cosmetic repairs, restoration, replacement of sampled materials, or any resulting damage that is reasonably necessary to perform the requested services.
The Client further acknowledges that applicable federal, state, and local regulations may require environmental testing, including asbestos sampling, prior to renovation, demolition, or disturbance of certain building materials regardless of the age of the structure.
Reports and Turnaround
Standard report preparation is generally completed within five (5) to seven (7) business days following receipt of all required laboratory results. Actual turnaround times may vary depending upon laboratory processing, project complexity, supplemental testing, client-requested revisions, or circumstances beyond PEAC's reasonable control.
Environmental reports represent conditions observed only at the locations inspected and sampled on the date of the inspection. Conditions may change over time, and findings should not be interpreted as a guarantee regarding concealed, inaccessible, or subsequently altered conditions.
Acknowledgment
By signing below, the Client certifies that they are the property owner or have legal authority to authorize the requested services and enter into this Agreement on behalf of the property owner or responsible party.
The Client acknowledges that they have carefully read, fully understand, and voluntarily agree to the terms of this Environmental Services Authorization & Payment Agreement. The Client further acknowledges that these terms constitute a legally binding agreement and are incorporated into all services performed by Pinnacle Environmental & Consulting, LLC.
The parties agree that electronic signatures, electronic records, and electronic acceptance of this Agreement shall have the same force and legal effect as original handwritten signatures pursuant to applicable federal and California law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the California Uniform Electronic Transactions Act.
